VEXA-TASK Terms & Conditions of Service


ARTICLE I: ACCEPTANCE OF TERMS AND SCOPE OF AGREEMENT

This Comprehensive Terms and Conditions Agreement (the "Agreement") constitutes a legally binding and enforceable contract by and between VEXA-TASK (together with its parent companies, subsidiaries, affiliates, officers, directors, agents, and employees, hereinafter collectively referred to as the "Company," "we," "us," or "our") and the individual or legal entity accessing or utilizing the Service (the "User," "you," or "your").

BY ACCESSING THE SERVICE, YOU EXPRESSLY ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND VOLUNTARILY AGREED TO BE BOUND BY THE TERMS SET FORTH HEREIN. If you do not agree to these terms, or if you lack the legal capacity to enter into such an agreement, you are strictly prohibited from accessing, browsing, or otherwise utilizing any systems, platforms, or services provided by the Company.


ARTICLE II: DEFINITIONS AND INTERPRETATIONS

For the purposes of this Agreement, the following terms shall be defined as follows:

  • "Service" shall encompass the entirety of the Company's digital ecosystem, including but not limited to proprietary software, mobile applications, APIs, merchant facilitation tools, and any conditional incentive structures.
  • "Affiliate" means any entity that controls, is controlled by, or is under common control with a party.
  • "Incentives" refers to any variable, discretionary, and non-vested value-based allocations, credits, or promotional returns generated through platform-specific engagement mechanisms.

ARTICLE III: ELIGIBILITY, REGISTRATION, AND ACCOUNT INTEGRITY

3.1 Legal Capacity: The User hereby warrants that they are of the legal age of majority in their jurisdiction of residence and possess the full legal authority to enter into this Agreement.

3.2 Account Security: The User assumes absolute responsibility for the confidentiality of all account credentials. Any activity occurring under a User's account shall be deemed the sole act of the User. The Company shall not be liable for any loss or damage arising from the User's failure to maintain account security.

3.3 Verification: The Company reserves the unilateral right to require identity verification (KYC) at any time. Failure to provide satisfactory documentation may result in the immediate and permanent forfeiture of all accrued incentives and account termination.


ARTICLE IV: DISCRETIONARY INCENTIVE AND DISTRIBUTION SYSTEMS

4.1 Non-Guarantee of Outcomes: The User acknowledges that any participation in the Service's incentive models is purely voluntary and promotional. The Company provides no guarantee, warranty, or assurance regarding the frequency, consistency, or magnitude of any percentage-based allocations or promotional returns.

4.2 Calculation Autonomy: All methodologies utilized to calculate distributions are proprietary and confidential to the Company. The Company maintains the absolute right to alter, recalculate, delay, or revoke any incentive at its sole and absolute discretion, without notice and without providing justification to the User.

4.3 No Vested Rights: Incentives do not constitute the personal property of the User until such time as they are successfully withdrawn in accordance with all platform-specific protocols and anti-fraud checks.


ARTICLE V: LIMITATION OF LIABILITY AND DISCLAIMERS

5.1 "As-Is" Provision: THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

5.2 Liability Cap: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES WHATSOEVER (INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, LOSS OF DATA, BUSINESS INTERRUPTION, OR PERSONAL INJURY) ARISING OUT OF OR IN ANY WAY RELATED TO THE USE OF OR INABILITY TO USE THE SERVICE.

5.3 Indemnification: You agree to indemnify, defend, and hold harmless the Company from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys' fees and costs, arising out of or in any way connected with your access to or use of the Service or your violation of these Terms.


ARTICLE VI: INTELLECTUAL PROPERTY AND PROPRIETARY RIGHTS

The Service, including its underlying code, algorithms, visual interface, and branding, is the exclusive intellectual property of the Company. No license, right, or title is granted to the User, except for a limited, non-transferable, revocable license to access the Service for its intended purpose. Any attempt to reverse-engineer, decompile, or circumvent the Service's security protocols is a material breach of this Agreement.


ARTICLE VII: DISPUTE RESOLUTION AND MANDATORY ARBITRATION

7.1 Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which the Company is incorporated, without regard to its conflict of law principles.

7.2 Binding Arbitration: Any dispute, controversy, or claim arising out of or relating to this Agreement shall be settled by binding arbitration. The User expressly waives the right to a trial by jury.

7.3 Class Action Waiver: THE USER AGREES THAT ANY CLAIMS SHALL BE BROUGHT IN THE USER'S INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.


ARTICLE VIII: MISCELLANEOUS PROVISIONS

8.1 Severability: If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.

8.2 Entire Agreement: This document constitutes the entire agreement between the parties regarding the subject matter herein and supersedes all prior or contemporaneous communications and proposals.

8.3 Amendments: The Company reserves the right to modify this Agreement at any time. Your continued use of the Service following the posting of changes constitutes acceptance of those changes.
